These Terms of Service (hereinafter, the “Terms”) govern access to and use of the qriptia.com website and the services provided under the Qriptia brand. Qriptia is a commercial brand of Alex Tech, domiciled in the Bolivarian Republic of Venezuela (hereinafter, “Qriptia”, “we” or the “Company”). Please read these Terms carefully before contracting or using our services.
1. Acceptance of the Terms
By accessing the website, requesting a consultation, signing a proposal, or using any of the services provided under the Qriptia brand, you declare that you have read, understood, and fully and unconditionally accepted these Terms, as well as our Privacy Policy. If you contract on behalf of a legal entity, you declare that you have sufficient authority to bind it. If you do not agree with any of the provisions contained herein, you must refrain from using the site and the services.
2. Description of services
Qriptia is a cybersecurity and technology development agency that provides, among others, the following services: (a) cybersecurity consulting and services, including vulnerability assessments, penetration testing (pentesting), managed monitoring, and incident response; (b) identity verification and know-your-customer (KYC) processes, which may include the processing of biometric data and identity documents; (c) development of software, applications, platforms, and secure infrastructure; (d) implementation of cryptography, including migration to post-quantum cryptography; and (e) artificial intelligence solutions connected to client systems. The specific scope, deliverables, and service levels of each engagement are defined in the proposal, service order, or particular contract signed with the client, which shall prevail over these general Terms in the event of any discrepancy.
3. Accounts and registration
Certain services may require the creation of an account or the provision of registration information. You undertake to provide truthful, accurate, current, and complete information, and to keep it updated. You are solely responsible for safeguarding the confidentiality of your access credentials and for all activity carried out under your account. You must notify us immediately of any unauthorized use or security breach of which you become aware. Qriptia may suspend or terminate accounts that contain false or incomplete information or that breach these Terms.
4. Acceptable use
You agree to use the site and services solely for lawful purposes and in accordance with applicable law. The following is expressly prohibited: (a) using the services to access, attack, breach, or compromise systems, networks, or data without express written authorization; (b) conducting security testing on third-party assets without the corresponding authorization; (c) introducing malicious code, interfering with the operation of the services, or circumventing security measures; (d) impersonating identities or falsifying information in verification processes; and (e) using the services for fraudulent activities, money laundering, or any purpose contrary to law. Breach of this clause may result in the immediate suspension of the service and any applicable legal action.
5. Client obligations
The client undertakes to cooperate in good faith with the provision of the services, which includes granting the authorizations necessary to perform security testing on its own assets, providing access, information, and documentation in a timely manner, and appointing contacts with decision-making capacity. The client warrants that it holds legitimate title over the systems, data, and assets covered by the services and that the processing of third-party data (including personal and biometric data in KYC processes) has the legal basis and consents required by applicable regulations.
6. Intellectual property
All intellectual and industrial property rights over the website, the Qriptia brand, the logos, the contents, the methodologies, the proprietary software, the tools, and the documentation belong to Alex Tech or its licensors and are protected by applicable law. Unless expressly agreed otherwise in the particular contract, deliverables developed specifically for the client shall be licensed or assigned to it as stipulated therein; however, Qriptia shall retain ownership of its pre-existing know-how, reusable components, libraries, and methodologies. No provision of these Terms transfers intellectual property rights by implication.
7. Service levels and limitation of liability
Qriptia provides its services with the professional diligence customary in the sector and in accordance with recognized best practices. However, information security is not absolute, and no provider can guarantee the absence of vulnerabilities, intrusions, or incidents. Services are provided on a best-efforts basis and not as a guarantee of result, unless the particular contract expressly states otherwise. To the maximum extent permitted by law, Qriptia shall not be liable for indirect damages, loss of profit, loss of data, or loss of business opportunity; and its total aggregate liability shall be limited to the amount actually paid by the client for the service giving rise to the claim during the twelve (12) months preceding the triggering event. Specific service levels (SLAs), where applicable, are detailed in the particular contract.
8. Confidentiality
Each party undertakes to maintain the strictest confidentiality over the information to which it has access by reason of the relationship and to use it exclusively to fulfill the contracted purpose. This obligation covers, in particular, technical information, security findings, credentials, personal and biometric data processed in identity verification processes, and any sensitive data of the client or third parties. Information is handled under need-to-know principles, segregation of duties, and encryption at rest and in transit. The confidentiality obligation shall survive the termination of the relationship for the period established by law or the particular contract.
9. Personal data protection
The processing of personal data is governed by our Privacy Policy and by applicable Venezuelan legislation on data protection and the right to privacy. Where Qriptia processes personal data on behalf of the client within the framework of a service (for example, in KYC processes), it shall act in accordance with the client's documented instructions and shall adopt appropriate technical and organizational measures for its protection.
10. Fees and payments
Fees, currency, method, and payment terms are set out in the proposal or particular contract. Unless otherwise agreed, services are invoiced as agreed therein. Late payments may entitle Qriptia to suspend the provision of services, after prior notice to the client, without prejudice to any applicable collection actions.
11. Term and termination
The contractual relationship shall have the term established in the particular contract. Either party may terminate it in accordance with the grounds provided therein or for a material breach by the other party that is not cured within the reasonable period granted for that purpose. Termination does not relieve the parties of obligations accrued beforehand, nor of those that by their nature must survive, such as confidentiality, intellectual property, and limitation of liability.
12. Governing law and jurisdiction
These Terms and the relationship between the parties are governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. For the resolution of any dispute arising from their interpretation or performance, the parties submit to the competent courts of Venezuela, unless an alternative dispute resolution mechanism has been agreed in the particular contract.
13. Modifications
Qriptia reserves the right to modify these Terms at any time to adapt them to legal, technical, or business changes. The version in force shall be the one published on the website, with its corresponding update date. Continued use of the services after the publication of a modification implies acceptance of the updated Terms. Particular conditions previously contracted shall be governed by the version in force at the time of their signing, unless expressly agreed otherwise.
